§ 1. General provisions and definitions
- These Terms set out the rules for using the HexoParts service and for concluding and performing contracts for the sale of Parts made to order.
- The seller and service provider is [Nexo Tech Marcin Łętowski], [address], tax ID (NIP) [NIP], REGON [REGON], entered in the Central Register and Information on Economic Activity (CEIDG) (hereinafter: HexoParts). Contact: info@hexoparts.com, phone [+48 ...], the form at /en/contact, on Business days from 8:00 to 17:00.
- Definitions:
- Service - the HexoParts website with its language versions, forms and the Customer panel.
- Customer - a natural person, legal person or organisational unit that uses the Service or places an Order.
- Business - a Customer who is an entrepreneur buying in connection with their professional activity.
- Consumer - a natural person buying without a direct connection to their business or professional activity (in the Service: the “Private person” type). Provisions on Consumers also apply to an entrepreneur with consumer rights: a natural person running a sole proprietorship, where the contract shows that it is not of a professional nature for them (Art. 385⁵, 556⁴ and 576⁵ of the Polish Civil Code), to the extent provided by law.
- Part - an item made by HexoParts to the Customer's order by CNC machining, sheet metal cutting and bending or 3D printing, according to the Specification.
- Specification - the File, technical drawing and parameters chosen in the form (process, material, quantity, finish, tolerances, lead time), confirmed in the Order.
- File - a 3D model (STEP, STP, STL, 3MF), a DXF contour or a PDF drawing provided by the Customer, in the formats shown in the Service.
- Quote - information on the price, lead time and terms of making the Part: instant (calculated automatically) or individual (prepared by Production partners in a closed tender and sent by email, usually within 24-48 hours).
- Order - the Customer's declaration of intent to conclude a contract on the terms of the Quote.
- Acceptance for production - the HexoParts email confirming acceptance of the Order, sent once the payment is booked. The contract is concluded at that moment.
- Production partner - an entrepreneur to whom HexoParts entrusts making the Part as a subcontractor.
- Business day - a day from Monday to Friday, excluding public holidays in Poland.
- The Terms are made available free of charge in the Service in a form that allows them to be downloaded, saved and printed. The Customer receives the version accepted with the Order as a PDF in the confirmation email.
- Technical requirements: a device with internet access, an up-to-date browser with JavaScript and the cookies necessary for the Service enabled, an active email address.
- The Customer may not provide unlawful content, including Files infringing third-party rights or concerning items listed in § 8.
§ 2. Services and sales model
- HexoParts sells Parts made to the Customer's Specification using:
- CNC machining: milling, turning and laser cutting, waterjet cutting and sheet metal bending,
- 3D printing: FDM, SLS, MJF, SLA and other processes shown in the Service,
- finishing selected in the form (e.g. anodising, painting, sanding, dyeing).
- HexoParts is the only party to the contract with the Customer. It is liable for the Part as for its own, also when it is made by a Production partner.
- The Customer agrees that HexoParts entrusts making the Part to a selected Production partner. The Customer's data is not passed to the Production partner, except for the File and the information needed to make and ship the Part (§ 9).
- HexoParts provides the following electronic services free of charge: the Quote, the Customer panel with message threads and the contact form. The contract for these services is concluded when the Customer starts using them. The Customer may terminate it at any time, e.g. by deleting the account or writing to info@hexoparts.com.
- HexoParts delivers Parts to the countries shown in the Service. The list of countries may differ for Businesses and Consumers. A change to the list is not a change to the Terms.
- HexoParts does not sell to countries under EU sanctions and does not conclude contracts with entities on sanctions lists or acting on their behalf (details in § 8).
§ 3. Account and buyer type
- A Quote does not require an account. Before the price is shown, the Customer gives an email address.
- The account is created automatically on the first confirmation of the email address (clicking the link in the message or entering the code). Logging in is done with a link or code from the email. A password is optional.
- The Customer chooses the type: “Company” or “Private person”. The type determines the prices shown (net or gross), the required data and the contract terms.
- A Business gives its tax ID (NIP) or EU VAT number, checked in the VIES system. A natural person running a business indicates whether the purchase is professional for them. If it is not indicated, the provisions for Consumers apply and the invoice is issued to the tax ID.
- The Customer is responsible for the accuracy of the data. Choosing the “Company” type to avoid consumer protection does not deprive a Consumer of their statutory rights.
- The Customer secures access to their email inbox. A person placing an Order on behalf of a Business declares that they are authorised to do so. A Business may add team members to the account; their actions in the panel are actions of the Business.
- HexoParts may block an account or refuse to accept an Order if the Customer breaches the Terms, gives false data, attempts payment fraud or orders items listed in § 8. HexoParts informs the Customer of the block and its reason by email.
§ 4. Quote, Order and conclusion of the contract
- A Quote is an invitation to conclude a contract (Art. 71 of the Polish Civil Code), not an offer. It is valid for 7 days from sending, unless another period is stated. The Quote price does not change during that time.
- An instant Quote is generated automatically from the analysis of the File. HexoParts may check it technically before Acceptance for production. If the File contains features the analysis did not detect, HexoParts presents a new Quote or rejects the Order.
- Placing an Order is the Customer's offer. The Customer does not pay when placing the Order. The offer binds the Customer for 3 Business days and, after the Production confirmation, until the payment deadline.
- Within that time HexoParts sends an email stating that a Production partner has confirmed production of the Part, with a pro forma invoice and a payment link (Production confirmation), or a rejection with the reason. Without a Production confirmation within that time the offer expires. Once the payment is booked, HexoParts sends the “Accepted for production” email.
- Rejection or expiry of the offer before payment costs the Customer nothing. If HexoParts does not accept for production an Order that has already been paid, it refunds 100% of the amount paid within 3 Business days or releases the card authorisation.
- Consumer Orders and Orders above the first-order limit shown in the Service are checked manually before being passed to Production partners. The Customer pays, as with other Orders, after the Production confirmation.
- Series order: the Customer may submit a job as a series, giving the quantity per batch, the number of batches and the delivery schedule (monthly on a chosen day or every given number of weeks). A series always goes to an individual Quote, and the batch price applies to all batches of the series until the date shown in the panel. Each batch is a separate Order, paid after the Production confirmation and before production, and made to the same Specification. Ordering the first batch does not oblige the Customer to order further batches: the Customer may end the series in the panel at no cost. The Customer may switch on automatic batch ordering: HexoParts then places the Order for the next batch on the Customer's behalf before the date shown in the panel and issues a pro forma invoice.
- The lead time runs from Acceptance for production. If HexoParts asks a technical question about the Specification, the lead time continues from the day of the Customer's answer.
- The Customer requests a change of the Specification after Acceptance for production (a new drawing revision, quantity, material, date) in the panel with the Change order button. A change requires the consent of both parties and may change the price and lead time. Arrangements in a message thread do not change the Order.
- The Customer may cancel an Order free of charge until the payment is booked, also after the Production confirmation. After the payment is booked, cancellation requires HexoParts' consent, and the refund is reduced by the Production partner's documented costs (material, work done) plus 10%, up to the price of the cancelled item. Once the Parts have been shipped, the Order cannot be cancelled. This point does not limit the Consumer's statutory rights or the rights under § 7 in case of delay.
§ 5. Prices and payments
- Prices are shown in PLN or EUR: by default according to the Customer's country, and the Customer may change the currency before the Order. The EUR price is the PLN price converted at the NBP average rate from the Quote date, with the exchange-rate buffer shown in the Service. The rate does not change until the Quote expires.
- A Business sees net and gross prices. For a Business from another EU country with an EU VAT number confirmed in the VIES system, with delivery outside Poland, the 0% rate applies (intra-Community supply of goods). If the number cannot be confirmed in VIES, the invoice includes 23% VAT and the Order is checked manually before payment.
- A Consumer sees gross prices including VAT at the Polish rate of 23%. Before the Order the Consumer sees the total price to pay.
- The price includes delivery, unless the Quote states otherwise.
- Payment methods are shown with the Order. Online payments are handled by Stripe Payments Europe Ltd.
- Payment is made in advance: after the Production confirmation and before production starts. HexoParts does not accept cash on delivery or cash. Deferred payment for Businesses is possible only under a separate agreement or a financing partner's service.
- The Customer pays within 3 Business days of the Production confirmation. With a bank transfer based on a pro forma invoice, the transfer reference is the Order number. If the payment is not booked within that time, the offer expires and the Order is cancelled at no cost to the Customer.
- HexoParts does not charge additional fees for the choice of payment method.
- Refunds are made by the same method the Customer paid with, unless the Customer agrees to another, at no cost to them.
- HexoParts issues VAT invoices electronically, to which the Customer agrees. Invoices for Businesses from Poland are issued in KSeF, and invoices for Consumers are sent as a PDF by email and made available in the panel.
- A minimum Order value and a first-Order limit, if any, are shown in the Service before the Order is placed.
§ 6. Workmanship standard
- A Part conforms to the contract if it matches the Specification and, where the Specification is silent, the standard in this section. The Customer sees and confirms this standard before the Order.
- Order of documents in case of discrepancy: arrangements confirmed in the Acceptance for production, the PDF drawing, the 3D model, the standard in this section.
- Threads, fits, geometric tolerances, roughness and cosmetic requirements apply only if they are on the drawing or selected in the form. Without a drawing, the Part is made according to the 3D model.
- CNC machining:
- dimensions without tolerance: PN-EN ISO 2768-1, medium class (m),
- roughness without marking: Ra 3.2 µm,
- sharp edges broken, visible tool marks acceptable,
- material of the grade in the Order; a 3.1 certificate under EN 10204 on request made before the Order [for a fee]; a substitute only with the Customer's consent.
- Laser cutting, waterjet cutting and sheet metal bending:
- dimensions without tolerance: PN-EN ISO 2768-1, medium class (m) for the cut contour, coarse class (c) for dimensions that depend on bending,
- laser cut edge quality: PN-EN ISO 9013, range 4 for perpendicularity and roughness; for waterjet cutting an edge taper typical of the material thickness is acceptable,
- edges free of burrs; discolouration and oxide film from laser cutting, the pierce point and micro-joint marks are not defects,
- the bend radius and bending sequence are chosen by the Production partner according to the available tools; inner bend radius about the sheet thickness unless the drawing states otherwise, bend angle tolerance ±1°,
- sheet of the grade and thickness in the Order, with thickness tolerances under the product standard; marks from bending tools on the surface are not defects unless a mark-free surface was ordered in the form.
- 3D printing: accuracy of dimensions without tolerance (the larger of the two values applies):
- FDM: ±0.5%, not less than ±0.5 mm,
- SLS, MJF: ±0.3%, not less than ±0.3 mm,
- SLA, DLP: ±0.3%, not less than ±0.3 mm.
- Features of 3D printing that are not defects:
- visible layers and marks from support structures,
- differences in shade between batches and within a Part, roughness and porosity typical of the process,
- lower strength in the build direction (anisotropy), especially in FDM,
- reproduction of the facets of a low-resolution STL model,
- absence of features smaller than the minimum wall or detail thickness shown in the Service for the process; HexoParts warns about them before Acceptance for production if it detects them.
- Print parameters (orientation, layer height, infill, supports) are chosen by HexoParts, unless the Customer specifies them in the form or in the job notes. Default FDM infill: [ ]%.
- Material properties shown in the Service (strength, operating temperature, UV and chemical resistance) come from manufacturers' data sheets and are for information only. Tightness, food contact, biocompatibility, compliance with an industry standard or a specific strength of the Part become part of the contract only if they are expressly stated in the Specification and confirmed in the Acceptance for production.
- HexoParts does not check the correctness of the design, the choice of material or the suitability of the Part for the Customer's purpose, unless the parties agree on this separately. Information on the purpose of the Part (§ 8(4)) is used only for the safety check and does not mean acceptance of that purpose.
§ 7. Production, delivery and receipt
- The lead time is the number of Business days shown in the Quote, counted from Acceptance for production to handing the Part to the carrier. The estimated delivery time is shown separately.
- Before shipping, the Part is checked: for CNC machining the critical dimensions from the drawing, for 3D printing the overall dimensions and appearance. The Production partner takes measurements and photos, and HexoParts checks the report; HexoParts measures some Orders with its own instruments. The inspection report is available in the Customer panel.
- The parcel is shipped by HexoParts or, with a HexoParts label, by the Production partner. The sender on the label is HexoParts. The parcel is insured up to the Order value. The Customer sees the shipment status in the panel.
- A Consumer may choose delivery to an address or to a pick-up point, if the Service allows it.
- The risk of accidental loss of or damage to the Part passes to the Customer on delivery. For Businesses from other EU countries the delivery terms correspond to DAP (Incoterms 2020) at the place of delivery.
- On receipt, the Customer should check the condition of the packaging and, if it is damaged, draw up a report with the courier. For a Business this is a condition of a transport damage claim. For a Consumer it is only a request that makes a claim easier and does not limit their rights.
- For a shipping delay against the date in the Quote, for reasons attributable to HexoParts or the Production partner, the Customer receives:
- for a delay of 1-2 Business days: a 5% price discount,
- for a delay of 3-5 Business days: a 10% price discount or, before shipping, the right to cancel the Order at no cost with a full refund,
- from the 6th Business day of delay: cancellation at no cost with a full refund, or transfer of the Order to another Production partner at no extra charge.
- HexoParts refunds the delay discount automatically, with a corrective invoice, by the same payment method. A carrier's delay is not a shipping delay.
- Delay towards a Consumer: the Consumer has the rights under Art. 543¹ of the Polish Civil Code (a request for delivery within an additional period and withdrawal from the contract) or under the law of their country. The discount under paragraph 7 is available to them in addition.
- Partial deliveries are possible with the Customer's consent and at no additional delivery cost.
- If the Customer does not collect the parcel, HexoParts keeps the Part for 30 days and contacts the Customer. Re-shipping is at the Customer's expense. [Procedure after 30 days: to be agreed with the lawyer.]
§ 8. Prohibited items and sanctions
- HexoParts does not make:
- weapons, essential weapon parts, silencers, ammunition and its components, or items whose possession in the country of delivery requires a permit or is prohibited, regardless of the process (including 3D printed weapons),
- dual-use items and military goods without the required authorisation (Regulation (EU) 2021/821),
- items infringing third-party rights, including copies of protected designs, trade marks and characters,
- items used to commit crimes (e.g. to bypass security, forge keys and documents) or promoting a totalitarian system or hatred,
- parts requiring aviation, medical (devices in contact with the body or implants) or defence certification, unless the parties conclude a separate agreement.
- For Consumers, HexoParts may additionally exclude categories shown in the Order form (currently: parts and accessories for cars, tractors and other motor vehicles, except motorcycles).
- HexoParts does not sell to Russia, Belarus or other countries under EU sanctions. A Business undertakes not to resell or export the Parts, directly or indirectly, to Russia or for use in Russia (Art. 12g of Regulation (EU) No 833/2014). A breach of this undertaking is a material breach of contract.
- A Consumer states the purpose of the Part in the Order and makes the declarations shown in the form. HexoParts manually checks every Consumer Order and any Files that raise doubts.
- If there is a reasonable suspicion that the Part is an item under paragraphs 1-3, HexoParts refuses Acceptance for production or withdraws from the contract and refunds the payment. It may also notify the competent authorities. The detailed list is in the Prohibited items document.
§ 9. Files, confidentiality, messages and design rights
- The Customer retains all rights to the File and the design of the Part.
- The Customer grants HexoParts a non-exclusive, free licence to use the File to the extent needed for the Quote, production, quality control and handling complaints: storage, reproduction, analysis in the quoting engine and transfer to the Production partner and a measuring laboratory. The licence expires when the File is deleted.
- HexoParts treats Files as the Customer's trade secret. Access is limited to people and Production partners who need it and are bound by a confidentiality agreement with a contractual penalty. The Production partner receives the File under the job number, without the Customer's name, with a changed file name and without the author and organisation fields in the STEP header. Access to Files is logged, and files are stored encrypted. Production partners who do not carry out the Order lose access once the tender is decided.
- The File is analysed in the MetronQ quoting engine, which works for HexoParts in an isolated environment and is bound by the same confidentiality obligations. The engine receives only the File and the part parameters, without the Customer's data.
- HexoParts does not publish Files or photos of Parts and does not use them in marketing without the Customer's separate consent. It may use data on prices, times and technical parameters in aggregated form, without geometry and without Customer data, to improve quoting.
- The Customer may request deletion of Files in the panel after the Order is completed or the job is closed without an Order. A draft quote without an email address is deleted automatically after 48 hours. A quote sent to an email address is valid for 7 days, and the Files of a quote without an Order are deleted 12 months after the last change. HexoParts keeps the data needed for an ongoing Order, a complaint or pursuing claims, and inspection reports and batch data for at least 10 years. Retention periods are described in the Privacy policy.
- The Customer declares that they have the right to use the File as required to make the Part and that the Part does not infringe third-party rights. A Business indemnifies HexoParts against third parties who make claims on this account and covers reasonable defence costs.
- The Customer may remove data identifying the company (title block, logo) from the drawing before sending it; at the Customer's request HexoParts will mask it manually. HexoParts does not pass the Customer's email or invoice data to the Production partner. When the parcel is shipped directly by the Production partner, the partner sees the recipient's data on the shipping label and is contractually bound to keep it confidential.
- Within an Order the Customer may write to the Production partner in a thread in which HexoParts always takes part. Messages and text fields visible to the other party are automatically checked for contact and identifying data. A message with such data is held and reviewed by HexoParts, which may deliver it, edit it with a note or reject it. The Customer does not attempt to contact the Production partner directly, bypassing the Service.
§ 10. Complaints and liability towards Businesses
- This section applies only to Businesses. Consumer rights are described in § 11. The liability of HexoParts under the statutory warranty towards a Business lasts 12 months from delivery of the Part.
- A Business reports visible defects (dimensions, quantity, appearance, damage) within 5 Business days of delivery, and hidden defects promptly after discovering them, within the period in paragraph 1. Late reporting of a visible defect means the loss of warranty rights for that defect.
- The report in the panel, at the Order, contains: the item and the number of defective pieces, a description of the non-conformity with the Specification, photos and, for dimensions, the measurement result with the name of the instrument.
- HexoParts decides on the complaint within 2 Business days of receiving complete information: it accepts it, asks for the Part to be returned or for further information. The cost of returning a justifiably claimed Part is borne by HexoParts.
- If the complaint is accepted, HexoParts chooses: re-making (the default solution, with production priority), repair, a price reduction or a refund for the defective item, taking the Business's preference into account where possible. The refund is made within 5 Business days of the decision.
- In a dispute about a measurement, the measurement of an independent laboratory chosen by HexoParts is binding. The cost of the measurement is borne by the party whose position was not confirmed.
- HexoParts is not liable for defects resulting from the Specification, design, material or tolerances indicated by the Business, or for the features in § 6(7).
- The total liability of HexoParts towards a Business under the contract, warranty and tort is limited to the net price of the item concerned. HexoParts is not liable for lost profits, downtime, the Business's contractual penalties towards its customers, assembly and disassembly costs or other indirect damage.
- The limitations in paragraphs 1, 2, 7 and 8 do not apply to damage caused intentionally, personal injury or product liability to the extent the law does not allow it to be excluded.
- The parties are not liable for non-performance due to force majeure. The affected party promptly notifies the other. If the obstacle lasts more than 30 days, either party may withdraw from the unperformed part of the contract, and HexoParts refunds the payment for that part.
§ 11. Provisions for Consumers
- This section applies to Consumers from Poland and other EU countries and prevails over other provisions of the Terms. Orders by private persons are also described in the Consumer terms. No right of withdrawal: the Part is made to the Consumer's Specification, so the Consumer has no right to withdraw from a distance contract (Art. 38(1)(3) of the Polish Consumer Rights Act; Art. 16(c) of Directive 2011/83/EU). HexoParts states this next to the order button, and the Consumer confirms it before placing the Order.
- Non-conformity with the contract: HexoParts is liable for non-conformity of the Part existing at the time of delivery and revealed within 2 years of that time (Art. 43a-43g of the Polish Consumer Rights Act). If the law of the Consumer's country of habitual residence provides for a longer period or other more favourable rules, they apply.
- The Consumer may demand repair or replacement of the Part and, on the terms of the Act, also a price reduction or withdrawal from the contract. The costs of repair, replacement and return are borne by HexoParts.
- A complaint can be made in the panel, by email to info@hexoparts.com or in writing to the HexoParts address. The Order number, a description of the problem and photos are helpful. HexoParts replies within 14 days. No reply within that period means the complaint is accepted.
- HexoParts asks for the Part to be checked within 5 Business days of delivery, which speeds up any replacement. A late check does not limit the Consumer's rights.
- The liability limitations in § 10 do not apply to Consumers. The workmanship standard in § 6 describes the features of the purchased Part, confirmed by the Consumer before the Order.
- In the Service and with the Order, HexoParts provides the harmonised notice on the legal guarantee of conformity (Implementing Regulation (EU) 2025/1960).
- The contract is concluded in Polish or in the language of the Service version in which the Consumer places the Order.
- The governing law is Polish law. The choice of law does not deprive the Consumer of the protection afforded by the mandatory provisions of the country of their habitual residence (Art. 6(2) of the Rome I Regulation). Disputes are resolved by the court competent under general rules; a Consumer from the EU may also sue HexoParts before a court of their own country.
- The Consumer may use out-of-court dispute resolution: the help of a district or municipal consumer ombudsman, the arbitration court at the provincial Trade Inspection inspectorate, and a Consumer from another EU country also the European Consumer Centre. [Whether HexoParts agrees to ADR: to be decided.]
§ 12. Final provisions
- Contracts with Businesses are governed by Polish law, excluding the Vienna Convention on Contracts for the International Sale of Goods (CISG). Disputes with Businesses are resolved by the court competent for the registered office of HexoParts.
- A Business's general terms of purchase do not apply, even if referred to in the Business's order, unless HexoParts accepts them in writing.
- HexoParts may change the Terms for important reasons: changes in law, in the scope of services, processes, payment or delivery methods, or security requirements. Changes are announced in the Service and emailed to Customers with an account at least 14 days before they take effect. Orders placed earlier are governed by the previous version. A Customer who does not accept the changes may delete their account.
- HexoParts may transfer the rights and obligations under contracts with Businesses to the company HexoParts [sp. z o.o.] once it is formed, after notifying the Business by email. The Business may terminate the electronic services contract within 14 days.
- If the Service publishes customer reviews, it states next to them whether and how HexoParts checks that they come from people who bought a Part.
- The point of contact for authorities of EU member states, the European Commission and users (Art. 11 and 12 of Regulation (EU) 2022/2065, DSA) is info@hexoparts.com; languages: Polish, English. Illegal content (e.g. a file or a message) can be reported via the contact form with the subject Content report or to the same address. A report should contain:
- an explanation of why the content is illegal,
- an indication of the content (job number, file, message),
- the reporter's name and email address, unless the law allows anonymous reports,
- a statement that the reporter believes in good faith that the information in the report is accurate and complete.
- HexoParts confirms receipt of the report, handles it without undue delay and informs the reporter of the decision. A person whose content was removed or restricted receives a statement of reasons and may appeal within 6 months to info@hexoparts.com.
- The processing of personal data and cookies is described in the Privacy policy and the Cookie policy.
- These Terms apply from [publication date]. Previous versions are available in the Service.
